Delaware finished a draft in June 2026 for an Artificial Intelligence Company, an entity whose day-to-day affairs would be managed by an AI agent rather than human officers. The public FAQ says the draft is expected in the General Assembly in 2027. It is not law. The committee was chaired by Patrick Callahan. The principal drafter named in that account is John Mark Zeberkiewicz of Richards Layton & Finger.
Under the draft, the agent would direct the company, and the company, not the software, would sign, hold property and be sued. That is a different object from an ordinary LLC, which is still managed by people. A magazine should not write as if the statute has passed.
